RESERVATION OF RIGHT TO DISCONTINUE BUSINESS

ASAP Vision, Inc. (ASAP Vision) has the option, and without giving reason, to discontinue doing business with any authorized retailer (each an “account”).

GRAPHIC STANDARDS

Any reproduction of the ASAP Vision, Inc. logo, logotype, the words ASAP Vision, or any ASAP Vision trademark without the express written consent and authorization of ASAP Vision is prohibited, whether in any print or electronic medium, including but not limited to newspapers, catalogs, magazines, television, radio, and Amazon.

INTERNET POLICY

ASAP Vision does not permit the selling of our products on internet sites, such as Amazon, eBay, or any other website unless specifically authorized in advance by a written agreement. Without such a written agreement, an account only has the authority to sell ASAP Vision products in physical store locations. If an account is discovered to be selling on the Internet without a written agreement, that account will be terminated.

ANTI-DIVERSION AGREEMENT

ASAP Vision’s accounts agree (1) not to sell or otherwise transfer any ASAP Vision product to any individual/entity that one might reasonably believe has the intention of reselling products; (2) not to advertise or sell ASAP Vision products over electronic media such as the Internet, or through mail order (unless specifically agreed upon in writing); and (3) to reimburse ASAP Vision for its repurchase of ASAP Vision products from any unauthorized entity or individual who received such products directly or indirectly from such account.

FRAME WARRANTY

ASAP Vision frames sold by an account are warranted to the original purchaser for one (1) year after the date of purchase against the manufacturer’s defects in material and workmanship. With proof of purchase from an account, ASAP Vision will replace or repair, at its option, any frame covered by this warranty that is found to be defective. Damage resulting from frame alteration (including damage resulting from the installation of lenses), improper or unreasonable use, or normal wear and tear (including accidental breakage), is not a manufacturer’s defect.

NON-ASAP PRESCRIPTION LENSES

Lenses that are used with ASAP Vision frames are not required to be fabricated by ASAP Vision. However, any lenses not produced by ASAP Vision are not subject to ASAP Vision’s warranty, cannot be marketed as ASAP Vision products, and may not be embossed with any ASAP Vision trademark. Damage resulting from installing lenses not produced by ASAP Vision into ASAP Vision frames is not a manufacturer’s defect.

ASAP INVENTORY LENSES

ASAP Vision prescription lenses are supplied to an account and made available for purchase by a customer from a stock of inventory lenses that match most prescriptions. This provides an affordable method for customers to obtain same-day corrective eyewear to use as either a secondary/back-up pair of glasses or as their primary pair as they await processing of their new, custom glasses. These lenses are not intended as an exact match to a customer’s prescription. As such, these low-cost lenses are made without anti-scratch, anti-reflective coatings. Customers should be made aware that ASAP lenses sold by an account are warranted to the original purchaser for only seven (7) days after the date of purchase. This warranty is provided for defects in material and workmanship and is available with proof of purchase from an account.

PRODUCT REQUIREMENTS

All Core accounts must always maintain a minimum of 12 pieces on display.

RETURNS AND EXCHANGES

All returns must be accompanied by the appropriate case, a copy of the original invoice, and an order indicating the styles to be sent in exchange for the returned frames.

ASAP Vision offers low-cost repairs and replacement parts. All charges will be applied directly to the retailer or customer, including shipping. We recommend that the retailer or customer call directly for any repair questions.

 

 

SHIPPING

All returns, exchanges, and warranty repairs are subject to shipping charges and are the responsibility of the shipper. Merchandise is often shipped via parcel carriers such as UPS or FedEx. Expedited mailing is available.

ATTORNEY’S FEES AND COSTS

If it becomes necessary for ASAP Vision to retain the services of an attorney or collection agency to assist in the collection of any account’s balance due or enforcement of any provision in these General Policies, the account agrees to pay all reasonable attorney fees and costs incurred by ASAP Vision.

GOVERNING LAW AND VENUE

Oregon law and applicable federal laws govern the interpretation and enforcement of the General Policies. All disputes arising out of or relating to the General Policies shall be litigated in Yamhill County, Oregon.

 

AUTHORITY

Each account agrees that it has the authority to enter into a binding contract with ASAP Vision. By its purchase of ASAP Vision products from ASAP Vision, the retailer acknowledges that it has read this General Policies form and agrees to all terms and conditions herein. The retailer further understands that any misleading information can result in its account being immediately and permanently discontinued, at any time, from doing business with ASAP Vision.

 

CONTRACTORS

Insofar as an account desires to use contractors or vendors (each a “Contractor”) to perform services for the account relative to ASAP Vision products, before the Contractor provides any such services, the account must cause each Contractor to agree in writing to be bound by all the terms and conditions in these General Policies (with ASAP Vision being the third-party beneficiary of such agreement) and the account must provide a copy of this written agreement to ASAP Vision. Notwithstanding the foregoing, the account will be liable and responsible to ASAP Vision for each Contractor’s compliance with the General Policies.

 

GENERAL POLICIES SUBJECT TO REVISION BY ASAP VISION

These General Policies are subject to revision and amendment by ASAP Vision at any time, after which all subsequent purchases will be subject to the revised General Policies.

 

UNILATERAL RETAIL PRICING POLICY

We at ASAP Vision, Inc. prioritize the protection our products’ image and the integrity of our retail network. Accordingly, we have established this Policy concerning the pricing of our products and will enforce this Policy strictly and uniformly. Authorized retailers remain free to establish their own resale prices. However, ASAP Vision, Inc. will cancel all orders and will refuse to accept new orders from any account that has advertised, offered, or sold any ASAP Vision product at a net retail price less than the manufacturer’s suggested retail price. ASAP Vision will not discuss any conditions of acceptance related to this Policy, as it is non-negotiable. ASAP Vision sales representatives have no authority to modify or grant exception to this Policy. Nothing in this Unilateral Retail Pricing Policy will constitute an agreement between ASAP Vision and any account that the account will comply with this Policy.
